Terms of Service

Important Notice: Please read and fully understand all the contents of this User Service Agreement (hereinafter referred to as "this Agreement"). This Agreement is an agreement between you (hereinafter referred to as "User" or "You") and Hangzhou Jianji Information Technology Service Co., Ltd. (hereinafter referred to as "We" or "Jianji Information") regarding the use of Utell software and related services.

Special Notice: By clicking "Agree" or actually using our services, you indicate that you have read and agree to be bound by this Agreement. If you do not agree with any content of this Agreement, please do not use our services. Minors under 18 years old should read this Agreement in the company of their legal guardians and use our services under the guidance of their legal guardians.

1. Scope of Agreement

1.1 Applicable Parties

This Agreement is an agreement between you and Jianji Information regarding your downloading, installing, using, and copying of the Utell mobile application (hereinafter referred to as "this Software" or "this Application"), as well as using related services provided by Jianji Information (hereinafter referred to as "this Service").

2. Service Content and License Scope

2.1 Service Content

The content of this Service includes:

• Local task and to-do management
• Calendar view and time planning
• Memo and note functionality
• AI intelligent analysis and content generation
• Voice, image, file and other multimodal input
• Full-text search functionality
• Data synchronization service (optional)

2.2 Software License Scope

Jianji Information grants you a personal, non-transferable, and non-exclusive license to use this Software. You may install, use, display, and run this Software on a single mobile device for non-commercial purposes.

3. User Conduct Standards

4.1 Information Content Standards

You promise not to use this Service to create, copy, publish, or disseminate the following content:

• Content opposing the basic principles established by the Constitution
• Content endangering national security, leaking state secrets, subverting state power, or undermining national unity
• Content damaging national honor and interests
• Content inciting ethnic hatred or discrimination, or undermining ethnic unity
• Content undermining national religious policies, promoting cults and feudal superstitions
• Content spreading rumors, disrupting social order, or undermining social stability
• Content spreading obscenity, pornography, gambling, violence, murder, terror, or instigating crime
• Content insulting or defaming others, infringing on the legitimate rights and interests of others
• Other content prohibited by laws and administrative regulations

5. Data and Privacy

5.1 Local-First Principle

Utell adopts a "local-first" design philosophy. Your task data, memo content, and other core data are stored only on your device locally by default. We will not collect or upload this data unless you explicitly enable cloud synchronization.

5.2 Data Backup Responsibility

You understand and agree that you are responsible for backing up the data you store in this Software. We do not guarantee that the data you store in this Software will not be lost or damaged, unless you use our cloud synchronization service.

6. Intellectual Property Statement

6.1 Rights Attribution

Jianji Information is the intellectual property rights holder of this Software. All copyrights, trademark rights, patent rights, trade secrets, and other intellectual property rights of this Software, as well as all information content related to this Software (including but not limited to text, images, audio, video, charts, interface design, layout framework, relevant data, or electronic documents, etc.) are protected by the laws and regulations of the People's Republic of China and corresponding international treaties. Jianji Information enjoys the above intellectual property rights, except for rights that relevant rights holders should enjoy according to law.

7. Disclaimer

7.1 Service Availability

You understand and agree that this Service may be affected by various factors, including but not limited to user reasons, network service quality, social environment, etc.; it may also be subject to various security issues, including but not limited to others illegally using user information to harass in reality; other software downloaded and installed by users or other websites visited may contain viruses, Trojan programs, or other malicious programs that threaten your terminal device information and data security, thereby affecting the normal use of this Software. Therefore, you should strengthen information security and personal information protection awareness, pay attention to password protection, and avoid losses.

7.2 Force Majeure

You understand and agree that in the process of using this Service, you may encounter force majeure and other risk factors that affect this Service. Force majeure refers to objective events that cannot be foreseen, overcome, or avoided and have a significant impact on one or both parties, including but not limited to natural disasters such as floods, earthquakes, epidemics, and storms, as well as social events such as wars, turmoil, and government actions. When the above situations occur, we will strive to cooperate with relevant units at the first time and strive for timely processing, but we are exempt from liability within the scope permitted by law for losses caused to you.

7.3 AI Service Statement

The AI functions integrated into this Software are provided by third-party AI service providers. You understand and agree that AI-generated content is for reference only and does not constitute professional advice. We do not guarantee the accuracy, completeness, or applicability of AI-generated content. You should judge for yourself and bear the risks of using AI-generated content.

8. Service Changes, Interruptions, or Terminations

8.1 Service Changes

We may adjust or change the content, functions, rules, etc. of this Service according to business development, legal and regulatory requirements, etc. If such changes will substantially affect your rights and interests, we will notify you in an appropriate manner before the change.

9. Other Terms

9.1 Effectiveness and Changes of Agreement

This Agreement takes effect from the date you use this Service. We have the right to change the terms of this Agreement when necessary. You can view the relevant agreement terms in the latest version of this Software. If you continue to use this Service, it is deemed that you have agreed to the modified agreement.

9.2 Applicable Law and Dispute Resolution

The establishment, effectiveness, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the mainland of the People's Republic of China (excluding conflict of laws). If any dispute or controversy arises between you and Jianji Information, it should first be resolved through friendly negotiation; if negotiation fails, you agree to submit the dispute or controversy to the people's court with jurisdiction where Jianji Information is located.
